These Terms of Service (“Terms”) govern your access to and use of Solene’s website, applications, and related services (the “Services”). By accessing or using the Services, you agree to these Terms and to our Privacy Policy. Software downloads are also subject to the End User License Agreement (EULA). Subscription cancellations and refunds are described in Refunds & Cancellation.
1. The Services
Solene AI Assistant LLC, doing business as TrillionStudios, operates this website and the Solene software. The Solene app is a day-to-day productivity companion that can help with calendar awareness, voice interaction, drafts, reminders, and AI-assisted answers. The website also describes our government-contracting work and other products (Sage, Trillion). Software features vary by plan:
- Local (free): on-device features; Ollama is installed with the Windows app for Local AI
- Plus: paid subscription with cloud AI for everyday answers and full-life help
- Pro: paid subscription that adds live research / deep lookup and a larger monthly credit allowance
We may modify, add, or discontinue features. We will try to avoid material reductions to paid features without notice where practical.
2. Eligibility
You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. If you use Solene on behalf of an organization, you represent that you have authority to bind that organization.
3. Accounts and billing
Paid plans are billed through Stripe. Your checkout email is used to identify your subscription on the Account page and in the app. You are responsible for accurate billing information and for activity under your subscription.
Prices are shown at checkout and may change for future renewal periods with notice as required by law or Stripe’s processes. Taxes may apply. Manage payment methods and cancel via the Stripe Customer Portal linked from Account.
4. License to use the Services
Subject to these Terms and the EULA, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your personal or internal business purposes. You may not resell, sublicense, reverse engineer (except where law prohibits this restriction), or use the Services to build a competing AI product by scraping or systematically extracting outputs.
5. Acceptable use
You agree not to:
- Violate law or third-party rights
- Upload malware or attempt to disrupt or probe the Services
- Use the Services to generate content that is illegal, exploitative of minors, or that facilitates serious harm
- Misrepresent Solene’s outputs as human-generated professional advice without review
- Circumvent plan limits, rate limits, or billing
- Abuse third-party APIs connected through Solene (Workspace providers, cloud AI, search, payments, etc.)
We may suspend or terminate access for violations.
6. AI outputs — no professional advice
Solene uses artificial intelligence and automation. Outputs can be inaccurate, incomplete, outdated, or inappropriate. Solene is not a lawyer, doctor, financial adviser, or other licensed professional. You must review outputs before relying on them. You are solely responsible for decisions and communications made using the Services.
7. Your content
You retain ownership of content you submit (“Your Content”). You grant us a limited license to process Your Content solely to provide and improve the Services you request (including transmitting prompts to cloud providers when you use Plus / Pro). We do not claim ownership of Your Content.
You represent that you have the rights needed to submit Your Content and that doing so does not violate law or third-party rights.
8. Third-party services
The Services may integrate with third parties (payment, calendars, AI models, search). Your use of those services is subject to their terms and privacy policies. We are not responsible for third-party outages, model behavior, or policy changes.
9. Intellectual property
Solene, including software, branding, and site content (excluding Your Content and third-party materials), is owned by Solene or its licensors and protected by intellectual property laws. Feedback you provide may be used by us without obligation to you.
10. Copyright complaints
If you believe material available through the Services infringes your copyright, email legal@soleneassistant.com with: your contact information, a description of the work, the location of the material, a statement of good-faith belief that use is unauthorized, a statement under penalty of perjury that your notice is accurate and that you are authorized to act, and your physical or electronic signature.
11. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUTS WILL BE ACCURATE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLENE AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICES WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) USD $50. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.
13. Indemnity
You will defend and indemnify Solene against claims arising from Your Content, your misuse of the Services, or your violation of these Terms or law, except to the extent caused by our willful misconduct.
14. Termination
You may stop using the Services at any time and cancel paid subscriptions as described in the Refunds policy. We may suspend or terminate access if you breach these Terms, if required by law, or if we discontinue the Services. Sections that by nature should survive (including IP, disclaimers, liability limits, and indemnity) will survive termination.
15. Changes to the Terms
We may update these Terms by posting a revised version with a new “Last updated” date. Continued use after changes become effective constitutes acceptance where permitted by law. If you do not agree, stop using the Services and cancel any subscription.
16. Governing law
These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, unless mandatory consumer protections in your country require otherwise. Courts in Wilmington, Delaware will have exclusive jurisdiction, subject to those mandatory protections.
