This End User License Agreement (“EULA”) is a legal agreement between you and Solene AI Assistant LLC (doing business as TrillionStudios) for the Solene software applications, including Windows builds distributed from soleneassistant.com or the Microsoft Store, and any related documentation (the “Software”). By installing or using the Software, you agree to this EULA, the Terms of Service, and the Privacy Policy.
1. License grant
Subject to this EULA, Solene grants you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control, for your personal or internal business use, in accordance with your plan tier (Local, Plus, or Pro).
2. License restrictions
Except as permitted by mandatory law, you may not:
- Copy the Software except for reasonable backup copies
- Modify, reverse engineer, decompile, or disassemble the Software
- Rent, lease, lend, sell, sublicense, or redistribute the Software except as we expressly allow (for example Store redistribution by Microsoft)
- Remove proprietary notices
- Use the Software to develop a competing product by extracting substantial non-public components
- Bypass license, subscription, or security controls
3. Ownership
The Software is licensed, not sold. Solene and its licensors retain all right, title, and interest in the Software, including all intellectual property rights. Third-party components are subject to their own licenses (including open-source licenses where applicable).
4. Updates and online features
The Software may automatically check for updates or require online connectivity for Plus / Pro features, billing validation, calendar sync, and cloud AI. We may provide updates that modify or remove features. Continued use of updated Software constitutes acceptance of the then-current EULA if presented with the update.
5. Data and privacy
The Software may store data locally and, for paid cloud features, transmit prompts and related content to subprocessors as described in the Privacy Policy. Microphone access is used only when you invoke voice features.
6. Third-party software and services
Optional components such as Ollama, Whisper, Google Calendar, Microsoft Graph, Stripe, and cloud AI providers are separate products. Their availability and terms are outside Solene’s control.
7. Microsoft Store terms
If you obtain the Software through the Microsoft Store, Microsoft’s Store terms also apply. In the event of a conflict regarding Store distribution mechanics, Store terms control for that distribution channel. Refunds for Store purchases follow Microsoft’s refund policies where applicable; subscriptions billed by Solene via Stripe follow our Refunds & Cancellation policy.
8. Termination
This EULA remains in effect until terminated. It terminates automatically if you breach it. You may terminate by uninstalling the Software and ceasing use. Upon termination, you must stop using the Software and destroy copies in your possession, except archival copies required by law.
9. Disclaimer of warranties
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLENE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, OR BUSINESS. OUR AGGREGATE LIABILITY ARISING FROM THE SOFTWARE WILL NOT EXCEED THE GREATER OF AMOUNTS PAID FOR THE SOFTWARE / RELATED SUBSCRIPTION IN THE PRIOR TWELVE (12) MONTHS OR USD $50.
11. Export
You must comply with U.S. and other applicable export control and sanctions laws. You may not use or export the Software in violation of those laws.
12. Governing law
This EULA is governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, subject to mandatory consumer protections where you live.
